TERMS AND CONDITIONS Last Updated: 25th Jan 2025 These Terms and Conditions (“Terms”) govern the use of the website, platform, software, services, and solutions provided by Parth Kalyani (“Company”, “we”, “us”, or “our”), including but not limited to WhatsApp Automation Services, WhatsApp Business API solutions, AI chatbots, messaging automation, CRM integrations, and related digital services (collectively, the “Services”). By accessing, registering, or using our Services, you agree to be legally bound by these Terms. If you do not agree, you must not use our Services. ________________________________________ 1. DEFINITIONS • Client / User / You: Any individual or entity accessing or using the Services. • Platform: WAConnect and related software, dashboards, APIs, automation tools, and interfaces. • WhatsApp Business API: Official API governed by Meta Platforms Inc. • Third-Party Services: WhatsApp (Meta), payment gateways, hosting providers, SMS/email services, CRM tools. ________________________________________ 2. ELIGIBILITY & ACCEPTANCE You represent and warrant that: • You are at least 18 years of age. • You have the legal authority to enter into this agreement. • You will comply with all applicable laws, including IT Act, 2000, and WhatsApp/Meta policies. Use of the Services constitutes binding acceptance of these Terms. ________________________________________ 3. SCOPE OF SERVICES The Company provides: • WhatsApp Business API onboarding and configuration • Messaging automation & chatbot workflows • Broadcast campaigns & notifications • CRM, ERP, and third-party integrations • AI-based customer interaction automation The Company does not guarantee: • Lead conversion • Sales revenue • Message delivery rates (subject to WhatsApp policies and technical constraints) ________________________________________ 4. WHATSAPP & THIRD-PARTY COMPLIANCE You acknowledge and agree that: • WhatsApp Business API is governed by Meta Platforms Inc. • Message approvals, delivery, number quality, and account suspension are controlled by WhatsApp. • The Company is not responsible for WhatsApp account bans, template rejections, or policy changes. You must strictly follow: • WhatsApp Commerce & Messaging Policies • Anti-spam, opt-in, and data consent rules ________________________________________ 5. USER OBLIGATIONS You agree: • Not to send spam, misleading, illegal, or abusive content • Not to violate data privacy, intellectual property, or consumer protection laws • To obtain proper customer consent before messaging • To maintain confidentiality of login credentials Any misuse may result in immediate suspension or termination without refund. ________________________________________ 6. FEES, BILLING & PAYMENTS • Fees are as per agreed plans, proposals, or invoices. • Message charges, API usage, and credits are non-refundable once consumed. • Late or failed payments may lead to service suspension. • Taxes (GST or others) shall be charged as applicable. ________________________________________ 7. INTELLECTUAL PROPERTY All intellectual property, including: • Software • Workflows • UI/UX • Branding • Documentation remain the exclusive property of the Company. You are granted a limited, non-exclusive, non-transferable license to use the Services during the subscription period. ________________________________________ 8. DATA PRIVACY & SECURITY • Client data is handled as per applicable data protection laws. • The Company is not responsible for data breaches caused by: o Client negligence o Third-party platforms o Force majeure events Refer to our Privacy Policy for details. ________________________________________ 9. LIMITATION OF LIABILITY To the maximum extent permitted by law: • The Company shall not be liable for indirect, incidental, consequential, or business losses. • Total liability shall not exceed the fees paid by the Client in the last 3 months. ________________________________________ 10. TERMINATION The Company reserves the right to: • Suspend or terminate services for policy violations, non-payment, or misuse. • Terminate accounts without notice if required by law or WhatsApp policies. Upon termination: • Access to the platform will cease • No refunds shall be issued ________________________________________ 11. FORCE MAJEURE The Company shall not be liable for failure or delay due to events beyond reasonable control, including but not limited to: • Internet outages • Government actions • WhatsApp/Meta service disruptions • Natural disasters ________________________________________ 12. GOVERNING LAW & JURISDICTION These Terms shall be governed by and construed in accordance with the laws of India. Exclusive jurisdiction: Courts of Vadodara, Gujarat, India. ________________________________________ 13. AMENDMENTS The Company reserves the right to modify these Terms at any time.
